Terms of Use & End User License Agreement

This Terms of Use and End User License Agreement ("Agreement") is a legal agreement between you ("you" or "User") and Greenlight Therapeutics ("GLT," "we," "us," or "our") governing your use of the Greenlight Therapeutics website at greenlighttherapeutics.com, the Dutchie-powered online menu and pre-order system embedded within it, and any associated loyalty or rewards program features (collectively, the "Website"). By accessing this Website or submitting a pre-order through our online menu, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use this Website.

Eligibility

This Website and all online ordering and pre-order services are intended solely for individuals who are 21 years of age or older. By accessing this Website or submitting a pre-order, you represent and warrant that you meet this age requirement. Qualifying medical cannabis patients and registered caregivers aged 18–20 may use this Website for informational purposes consistent with Maryland Cannabis Administration (MCA) requirements.

All individuals must present valid, government-issued identification at the time of in-store pickup, regardless of any pre-order submitted online. This Website is an informational and ordering tool only and does not verify your age or eligibility to purchase cannabis products. Age and identity verification required to complete any cannabis transaction occurs in person at Greenlight Therapeutics in accordance with COMAR 14.17 and MCA requirements.

License Grant

Subject to your compliance with this Agreement, GLT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website on a personal device solely for your own personal, non-commercial purposes, including:

  • Browsing the GLT product menu and availability information
  • Submitting pre-orders for in-store pickup
  • Participating in the GLT loyalty and rewards program, if enrolled
  • Reviewing dispensary information, hours, and policies
  • Receiving push notifications or email communications if you have opted in

Account Registration

Certain features, including the loyalty program and pre-order history, may require you to create an account with Greenlight Therapeutics and/or register with Dutchie's platform. By creating an account, you agree to provide accurate, current, and complete information during registration, maintain the security of your account credentials, notify GLT promptly of any unauthorized use of your account, and be responsible for all activity that occurs under your account. GLT reserves the right to suspend or terminate accounts that contain false information or that are used in violation of this Agreement.

License Restrictions

You agree not to use this Website for any unlawful purpose or in violation of any applicable federal, state, or local law; access the Website or place a pre-order if you are under 21 years of age (or under the applicable minimum age for qualifying medical patients); attempt to reverse engineer, decompile, or derive source code from any portion of the Website or the Dutchie platform; copy, reproduce, distribute, or sublicense Website content without express written permission; use any automated system, bot, scraper, or crawler to access or interact with the Website or online menu; interfere with or disrupt the operation of the Website or any supporting servers or networks; impersonate any person or entity; or use the Website to transmit any unlawful, harassing, defamatory, abusive, or fraudulent content.

Pre-Orders & Online Menu

The Greenlight Therapeutics online menu allows customers to browse available products and submit pre-orders for in-store pickup.

Product availability – Product listings, pricing, and availability displayed through the online menu are provided for informational purposes only and are subject to change without notice. Greenlight Therapeutics does not guarantee that any product listed online will be in stock or available at the time of your visit.

Pre-orders are not guaranteed sales – Submitting a pre-order does not constitute a binding purchase or guarantee product availability. All sales are completed in person at the Greenlight Therapeutics dispensary, where final pricing, product availability, applicable taxes, and compliance verification will be confirmed at the time of pickup.

Age verification at pickup – You must present a valid, government-issued photo ID at the time of pickup. GLT reserves the right to refuse service to any individual who cannot verify eligibility at the time of pickup in accordance with COMAR 14.17.

Order cancellation – GLT reserves the right to cancel any pre-order at any time, including due to product unavailability, failure to pick up within the designated hold period, or a determination that the order was placed in violation of this Agreement or applicable law. You may cancel a pending pre-order by contacting the dispensary directly.

Pricing – All prices displayed through the online menu are subject to change. Final pricing, including applicable Maryland cannabis excise taxes and any other fees, will be confirmed at the point of sale. Online pricing does not constitute an offer that GLT is obligated to honor.

Third-Party Platform — Dutchie

The online menu and pre-order functionality on this Website is powered by Dutchie (Courier Plus, Inc.), a third-party cannabis technology platform. When you use the online menu or submit a pre-order, you are interacting with Dutchie's platform and your information will be processed by Dutchie in addition to Greenlight Therapeutics.

Dutchie's role – Dutchie provides GLT with point-of-sale, eCommerce, and ordering technology services. When you place a pre-order or interact with the embedded online menu, Dutchie collects and processes certain personal information on behalf of Greenlight Therapeutics and in accordance with Dutchie's own privacy policy.

Dutchie's Privacy Policy – Your use of the Dutchie-powered online menu is also subject to Dutchie's Privacy Policy, available at dutchie.com/privacy. Dutchie's Privacy Policy governs how Dutchie collects, uses, and discloses information it processes in connection with the online menu, including cookies, analytics, and order data. Greenlight Therapeutics is not responsible for Dutchie's privacy practices.

Data shared with Dutchie – When you use the online menu, Dutchie may collect personal information including your name, email address, phone number, date of birth, order history, and location information for the purpose of processing your pre-order. This information is processed by Dutchie as a service provider to Greenlight Therapeutics and may only be used to provide the ordering service.

Dispensary responsibility – Consistent with Dutchie's published privacy policy, Greenlight Therapeutics is responsible for addressing customer privacy requests related to transactions processed through the Dutchie platform on our behalf. If you have questions about your personal information in connection with a GLT pre-order, please contact us directly using the information at the end of this Agreement.

Other third-party links – The Website may contain links to third-party websites or services not operated by GLT or Dutchie. GLT is not responsible for the content, privacy practices, or terms of any third-party sites.

Loyalty / Rewards Program

Greenlight Therapeutics offers a points-based loyalty and rewards program to eligible customers. Participation is subject to the following terms in addition to any separate program rules GLT may publish:

  • Loyalty points and rewards have no cash value and cannot be sold, transferred, or redeemed for cash
  • Loyalty points are earned only on qualifying purchases completed in-store and are credited at GLT's discretion
  • Current reward tiers: Bronze (250 pts = $20 off) · Silver (750 pts = $50 off) · Gold (1,500 pts = $150 off)
  • Points must be redeemed in-store or at curbside — online redemption is not available
  • GLT reserves the right to modify, suspend, or terminate the loyalty program, or adjust point values and redemption terms, at any time with or without notice
  • Accrued points not redeemed prior to program termination or account closure will be forfeited
  • Creating multiple accounts to accumulate points is prohibited and may result in forfeiture of all accrued rewards
  • GLT reserves the right to suspend or terminate a customer's participation in the loyalty program for suspected fraud, abuse, or any violation of this Agreement

Intellectual Property

The Website and all content, features, trademarks, logos, trade names, product descriptions, images, and underlying software are owned by Greenlight Therapeutics or its licensors and are protected by applicable intellectual property laws. The Dutchie platform technology is owned by Courier Plus, Inc. and its licensors. Except for the limited license granted above, no right, title, or interest in the Website or any GLT intellectual property is transferred to you. Unauthorized use of GLT's trademarks, logos, or content is strictly prohibited.

Privacy & Data Collection

Your use of this Website is governed by the Greenlight Therapeutics Privacy Policy, available at greenlighttherapeutics.com/privacy-policy, which is incorporated into this Agreement by reference.

Information collected through this Website – In connection with your use of this Website and the Dutchie online menu, GLT and/or Dutchie (on GLT's behalf) may collect identification information such as your name, date of birth, email address, phone number, and mailing address; order information including products selected, order history, and pickup preferences; medical cannabis registry information if voluntarily provided by qualifying patients; technical and usage information such as IP address, browser type, and pages visited; and general location data used to verify service area eligibility.

Required regulatory disclosures – Certain transaction data is reported to the Maryland Cannabis Administration through the METRC tracking system as required by Maryland law. This reporting is mandatory and cannot be waived.

Opt-in data – Collection of purchase history and product preferences beyond what is required for regulatory compliance is conducted only with your express consent. You may withdraw consent at any time by contacting GLT directly.

Cookies & Tracking Technologies

This Website and the Dutchie-powered online menu use cookies and similar tracking technologies to provide a functional browsing experience, analyze usage, and in some cases serve interest-based content.

Essential cookies – Required for the Website and online menu to function correctly, including maintaining your session and cart during pre-order checkout.

Analytics cookies – Used to understand how visitors interact with the Website. Dutchie and GLT may use third-party analytics tools such as Google Analytics for this purpose.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GLT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE, THE ONLINE MENU, OR THE DUTCHIE PLATFORM, INCLUDING LOSS OF DATA OR LOYALTY POINTS, INABILITY TO COMPLETE A PRE-ORDER, ERRORS IN PRODUCT INFORMATION OR PRICING, FAILURE OF A PRE-ORDER TO BE FULFILLED DUE TO PRODUCT UNAVAILABILITY, OR ANY ACTS OR OMISSIONS OF DUTCHIE OR OTHER THIRD-PARTY SERVICE PROVIDERS. GLT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

Cannabis-Specific Disclaimer

Cannabis remains a controlled substance under federal law. The Website and all services provided through it relate solely to lawful cannabis retail activity under the laws of the State of Maryland as regulated by the Maryland Cannabis Administration. Greenlight Therapeutics makes no representation regarding the legality of cannabis in any jurisdiction other than Maryland. Nothing on this Website constitutes medical advice, diagnosis, or treatment recommendations. Customers should consult a qualified healthcare provider before using cannabis for any health-related purpose.

Termination

GLT may suspend or terminate your access to this Website, including any associated account and accrued loyalty points, at any time with or without notice, for any violation of this Agreement, suspected fraud or abuse, any request by law enforcement or regulatory authority, or any other reason at GLT's sole discretion. You may stop using this Website at any time. To close your account, contact GLT at the information below. Account closure does not affect GLT's right to retain information required by Maryland law or regulation.

Changes to This Agreement

GLT may modify this Agreement at any time. Material changes will be communicated by posting the updated Agreement on this Website with a revised effective date. Continued use of this Website or the online menu after changes take effect constitutes your acceptance of the revised Agreement. If you do not agree to the updated terms, you must stop using this Website.

Governing Law

This Agreement is governed by the laws of the State of Maryland, without regard to its conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the Website shall be subject to the exclusive jurisdiction of the state or federal courts located in Maryland.
